What's a Non-Compete Clause?
An agreement by one party to not engage in conduct that could compete with the activities of another party. Such provisions are typically found in agreements to buy or sell a business or in employment separation agreements. Such provisions are not always enforceable and require careful drafting and analysis by an attorney familiar with the the applicable state laws. See also: Covenant Not to Compete.
